SERVICE.

These Terms of Service ("Terms") govern your access to and use of the AI video generation platform, web application, and related services (collectively, the "Service"). By creating an account, clicking "I agree," or otherwise accessing or using the Service, you expressly agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

References to "we," "us," or "our" mean the Service provider. References to "you" or "your" mean the end user or the entity on whose behalf you use the Service.

Eligibility & Accounts

Eligibility. You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use the Service. If you are under the age of majority, you must have a parent or legal guardian's consent.

Account. You must provide accurate information and keep it updated. You are responsible for any activity on your account and for maintaining the confidentiality of your credentials. Notify us immediately of unauthorized use.

The Service

What we do. The Service lets you create short-form, vertical videos by generating captions, images, audio, and renders via AI models and a background rendering pipeline. Themes may include horror, true crime, mystery, and viral/gen‑Z styles.

AI limitations. AI outputs may be inaccurate, incomplete, offensive, or otherwise unexpected. Do not rely on outputs as facts. You are solely responsible for reviewing and using outputs lawfully.

No guarantees. We may throttle, queue, limit, or prioritize jobs. We do not guarantee generation speed, uptime, or uninterrupted availability.

Subscriptions, Billing & Credits

• Plans and auto‑renewal. Paid plans are billed on a recurring basis until canceled. Plan features, quotas, and pricing are described on the pricing page and may change from time to time.
• Billing provider. Subscriptions and payments are handled via third‑party payment processors. By subscribing, you authorize recurring charges. Taxes may apply.
• Credits. Certain actions (e.g., video generation, hook/slide regeneration) consume "Credits." Credits are allocated by plan and reset periodically. Credits have no cash value, are not transferable, and may expire if not used.
• Promotions. Any promotional offer is one-time per user unless stated otherwise. We may modify or terminate promotions at any time.
• Refunds. Except where required by law, all fees are non‑refundable and non‑cancelable during the current billing period. Cancellation takes effect at the end of your current term.
• Cancellation. You can cancel any time from your billing portal. Upon cancellation, you retain access until the end of the paid term; then your account may revert to a free tier (if available).

Acceptable Use

You agree not to use the Service to:

• Illegal or infringing content. Violate any law or third‑party rights (including IP, publicity, or privacy rights), or upload references you do not have rights to use.
• Harmful content. Generate or distribute content that is unlawful, defamatory, harassing, hateful, discriminatory, sexually explicit (especially any content involving or appearing to involve minors), or that incites violence or self‑harm.
• Deceptive or malicious activity. Impersonate others, engage in deepfakes of private individuals without consent, doxx, spam, probe or attack infrastructure, or attempt to circumvent safety controls or rate limits.
• High‑risk use. Use outputs for medical, legal, financial, or other professional advice, or in safety‑critical contexts.

We may suspend or terminate your access for any violation of these Terms or applicable law.

Your Content & Rights You Grant

User Content. You may submit inputs such as prompts, subjects, titles, reference images/URLs, and other materials ("User Content"). You retain ownership of your User Content.

License to us. You grant us a worldwide, non‑exclusive, royalty‑free license to host, reproduce, process, adapt, and display your User Content and generated outputs solely to operate, improve, and provide the Service.

Representations. You represent and warrant you have all necessary rights to your User Content and that it does not violate these Terms or any law.

AI‑Generated Outputs

Ownership. As between you and us, we assign to you our rights in the AI‑generated video outputs we create for you, subject to: (a) your compliance with these Terms; (b) any third‑party model or data licensing that may apply; and (c) our limited license above to host and deliver your outputs.

Non‑exclusivity. Due to the probabilistic nature of AI, similar outputs may be generated for others. We do not guarantee uniqueness or exclusivity.

Third‑party restrictions. Some models or providers may impose additional restrictions on commercial use or distribution of outputs. You agree to comply with those terms (see Section 9).

Storage, Retention & Deletion

Where we store. We use third‑party infrastructure and service providers (e.g., database/storage, hosting, authentication, and monitoring) to store accounts, jobs, logs, and assets and to operate the Service.

Retention. We retain generated assets and logs for as long as needed to provide the Service, enforce these Terms, and comply with law. Free‑tier assets may be purged earlier for capacity reasons. We may delete any asset at any time.

Account deletion. If you delete your account, we generally remove associated profile data, usage rows, videos, and stored assets, subject to required retention for fraud prevention or legal obligations.

Intellectual Property & Feedback

Our IP. We and our licensors own all rights in the platform, models we host, code, workflows, templates, UI, and brand. These are licensed to you on a limited, revocable basis solely to use the Service.

Feedback. If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty‑free license to use it without restriction.

Third‑Party Services & Providers

To operate the Service, we may integrate with third‑party providers for features such as authentication, billing, payments, database/storage, AI generation, text‑to‑speech, video rendering, analytics, monitoring, and hosting. Your use of the Service may also be subject to those providers' terms and policies.

We are not responsible for third‑party services; they may change, suspend, or terminate their services independently.

Copyright Complaints (DMCA)

If you believe content on the Service infringes your copyright, please send a notice with: (1) your contact information, (2) identification of the work claimed infringed, (3) the material's location (URL or asset key), (4) a statement of good‑faith belief, (5) a statement under penalty of perjury that your notice is accurate and you are authorized, and (6) a physical or electronic signature.

Submit to: legal@viralreelz.net. We may remove or disable content and, in our discretion, terminate repeat infringers.

Privacy

Our Privacy Policy explains how we collect, use, and share information. By using the Service, you consent to our privacy practices and to receiving service‑related communications.

Disclaimers

THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR‑FREE, UNINTERRUPTED, SECURE, OR THAT OUTPUTS WILL BE ACCURATE, UNIQUE, OR MEET YOUR REQUIREMENTS.

YOU ARE SOLELY RESPONSIBLE FOR YOUR USE OF OUTPUTS, INCLUDING OBTAINING ANY RIGHTS OR CONSENTS REQUIRED FOR YOUR DISTRIBUTION OR COMMERCIALIZATION.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA; AND (B) OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (I) THE AMOUNT PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY OR (II) USD $100. Some jurisdictions do not allow certain limitations; in those cases, the limitations apply to the fullest extent permitted.

Indemnification

You will defend, indemnify, and hold harmless us and our affiliates, officers, directors, employees, and agents from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from or relating to: (a) your User Content; (b) your use of the Service or outputs; or (c) your violation of these Terms or applicable law.

Suspension & Termination

We may suspend or terminate your access at any time, with or without notice, if we believe you have violated these Terms or if necessary to protect the Service or other users. Upon termination, your right to use the Service ceases, but Sections 5–16 survive.

Changes to the Service or Terms

We may modify the Service and these Terms at any time. We will post updated Terms with a "Last updated" date. Your continued use after changes become effective constitutes acceptance of the updated Terms.

Governing Law & Venue

These Terms are governed by the laws of [STATE/COUNTRY], without regard to its conflict of laws rules. You consent to exclusive jurisdiction and venue in the courts located in [CITY, STATE/COUNTRY]. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Export & Sanctions

You represent you are not subject to sanctions or located in an embargoed jurisdiction and will not use the Service in violation of export or sanctions laws.

Electronic Communications & E‑Sign Consent

By creating an account and clicking "I agree," you consent to receive electronic communications and agree that your electronic acceptance constitutes your signature and acceptance of these Terms and all plan‑specific details presented at checkout.

Miscellaneous

Entire Agreement. These Terms and any referenced policies are the entire agreement between you and us regarding the Service.

Severability. If any provision is unenforceable, the remainder remains in effect.

Assignment. You may not assign these Terms without our consent; we may assign them without restriction.

No waiver. Our failure to enforce a provision is not a waiver of the right to do so later.

Notices. We may provide notices via the Service, email, or your account.
